Terms of Service

1. Acceptance of Terms

By using the Service, creating an account, or purchasing paid features, you agree to these Terms. If you do not agree, do not access or use the Service.

2. Eligibility and Accounts

• You are responsible for maintaining the confidentiality of account credentials and access tokens.
• You are responsible for activity occurring under your account.
• You agree to provide accurate registration and billing-related data.
• You must promptly notify us if you suspect unauthorized use.

3. Service Description and Feature Variability

Gwal provides a system for running and managing an army of AI agents from mobile devices, with optional cloud deployment and provider routing features. Availability and behavior may vary by region, platform, provider capability, network conditions, account state, and subscription status.

4. License Grant and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful personal or internal business purposes.

You may not:

• Reverse engineer, decompile, or disassemble the Service except where prohibited by law.
• Resell, sublicense, lease, distribute, or commercially exploit the Service without written permission.
• Bypass safeguards, abuse limits, or interfere with stability, security, or integrity.
• Use the Service to create unlawful, abusive, infringing, or harmful outputs or automations.

5. User Content and AI Output

• You are responsible for content you submit and actions taken using AI outputs.
• AI outputs may be inaccurate, incomplete, biased, delayed, or unsuitable for specific use cases.
• You must independently verify outputs before reliance in legal, medical, safety, or financial contexts.
• You represent that you have rights to submit content you provide to the Service.

6. BYOK and Third-Party Providers

The Service may interoperate with third-party providers selected by users. If you use BYOK, you are solely responsible for provider credentials, provider billing, provider policy compliance, and any obligations arising under your third-party provider agreements.

We do not control third-party provider availability, model behavior, moderation rules, policy changes, pricing, or outages, and we are not liable for such third-party actions.

7. Fees, Billing, Subscriptions, and Credits

• Paid features may be offered via app stores and/or billing providers.
• Recurring subscriptions renew according to platform billing rules unless cancelled as required.
• Plan entitlements and credits may be modified, replaced, or retired for product/security/legal reasons.
• Restoration and entitlement checks may depend on third-party billing infrastructure and account state.
• Unless required by law, fees are non-refundable once processed.

8. Acceptable Use and Prohibited Conduct

• No illegal activity, fraud, harassment, malware, abuse, or rights infringement.
• No attempts to scrape private data, exfiltrate credentials, or evade access controls.
• No activities violating applicable law, export controls, sanctions, or third-party platform terms.
• No interference with infrastructure, excessive automated abuse, or denial-of-service behavior.

9. Intellectual Property

The Service, including software, design, branding, and related content, is owned by Goloak Vrindavan Inc.or its licensors and protected by applicable intellectual-property laws. These Terms do not transfer ownership rights to you.

10. Service Changes, Availability, and Beta Features

We may update, suspend, limit, discontinue, or redesign any feature at any time. Certain features may be experimental and may change without notice. We do not guarantee uninterrupted availability.

11. Suspension and Termination

We may suspend or terminate access where we reasonably determine there is a violation of these Terms, a security risk, legal exposure, non-payment, or abusive/unauthorized usage. You may stop using the Service at any time.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and error-free or uninterrupted operation.

13. Limitation of Liability

To the maximum extent permitted by law, Goloak Vrindavan Inc. and its affiliates, directors, employees, and service providers are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of data, profits, revenue, goodwill, or business interruption.

14. Indemnification

You agree to defend, indemnify, and hold harmless Goloak Vrindavan Inc. from claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from your use of the Service, your content, your integrations, or violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by applicable laws relevant to the operator's place of operation, unless mandatory law requires otherwise. Before initiating formal proceedings, you agree to first contact us in good faith to attempt resolution.

16. Changes to Terms

We may update these Terms from time to time. Updated Terms become effective when posted with an updated date. Continued use after the effective date constitutes acceptance.
